Governing Body
As amended by the Governing Body Resolution No. 4 (II) of 20.12.2014 and General Council Resolution No. 2 of 07.05.2016 and its acceptance by the Registrar of Firms, Societies and Non-trading Corporations, West Bengal, the Governing Body of the Institute shall be as below:
- The affairs of the Institute shall be conducted, managed and administered by a body called the Governing Body consisting of not less than 11 (eleven) and not more than 15 (fifteen) members:
- The composition of the Governing Body shall be as follows:-
- Chairman
- President, Governing Council, NIAS, Permanent Invitee.
- Secretary of the Institute
- Principal Secretary, Department of Higher Education, Government of West Bengal or his/her nominee
- Principal Secretary, Department of Finance, Government of West Bengal or his/her nominee.
- Three (3) experts and scholars in various fields of Asian Studies to be nominated by the General Council.
- Three (3) members to be elected from the General Council
The Director of the Institute shall be the Ex-officio Secretary of the Governing Body and during his absence, any member of the General Council authorized by the Council shall act as the Secretary.
- Excluding ex-office members, in case of a vacancy occurring in the Governing Body due to death, resignation or otherwise, such vacancy shall be filled up by co-option of any competent member from the General Council by the Governing Body.
- The tenure of the Governing Body will be a period of five years.
POWERS AND DUTIES OF THE GOVERNING BODY
The Governing Body shall have general power of supervision and control over all the affairs of the Institute and in particular shall discharge the following duties:-
- To direct the Secretary of the Institute to summon Annual General Meeting of the General Council and to arrange for election of members of the Governing Body when necessary;
- To accept donations, gifts, subscriptions, movable or immovable property for the attainment of the objectives of the Institute;
- To appoint Sub-Committee, if required, with such powers and duties as may be considered necessary or expedient;
- To sell, lease, borrow funds, mortgage or otherwise dispose of and deal with all or any part of the Institute;
- To prepare and execute detailed plans and projects of the Institute.
For the execution of the plans and projects of the Institute with a view to achieving the objectives of the Institute, the Governing Body may constitute a Research Council under it consisting of distinguished experts in the respective fields of studies in and outside the General Council. Members of the Governing Body and all Professors/Fellows of the Institute shall be ex-officio members of such Research Council. The Chairman of the Governing Body or, in his absence, and other member elected by the Governing Body for the purpose, shall preside over the meeting of the Research Council. The Research Council may set up separate Research Sub-Committees consisting of distinguished experts in their respective fields of studies. The terms and conditions of the Research Council or Sub-Committees thereof shall be determined by the Governing Body from time to time;
- To prepare budget estimate of the Institute for each year and to sanction the expenditure within the limits of the budget so prepared and approved by the State Government;
- To create administrative, technical, ministerial and other posts under the Institute other than the post of the Director, Professor/Senior Fellows, Assistant Professors/Fellows and to make appointment thereto. The appointment to the posts of Director and Professors shall be made by the Governing Body under specific terms and conditions, such as by direct recruitment, deputation, contract etc. subject to the approval of the State Government;
- To enter into agreements for and on behalf of the Institute;
- To sue and defend all legal proceedings on behalf of the Institute;
- To delegate to such extent as it may deem necessary and of its powers to any of its officers and sub-committees of the Governing Body;
- To consider and pass such resolution on the Annual Report, the Annual Accounts and the financial estimates of the Institute as it may think fit, and to submit such annual report, annual accounts and financial estimates along with the resolutions passed thereon by the Governing Body to the State Government for approval and imbursement of funds from time to time;
- To perform such additional functions and to carry out such duties as may from time to time be assigned to it by the State Government.
- To keep proper accounts of the Institute and to open Bank Account in the name of the Institute in one or more of the Banks;
- To make, adopt, amend, vary or rescind from time to time bye-laws for regulation of, and for any purposes connected with, the management and the administration of the affairs of the Institute and for furtherance of its objectives with the prior approval of the State Government.
- All members of the Governing Body excepting the ex-officio members shall retire on an interval of every five years following their election at the Annual General Meeting of the Institute when a fresh Governing Body shall be appointed. Retiring members shall be eligible for re-appointment.
- Meetings of the Governing Body may be held once in every two months and/or earlier as may be deemed necessary for the transaction of business and may be adjourned or otherwise regulated as may be thought fit by the Chairman.
- The quorum of a meeting of the Governing Body shall be five members.
- Special meetings of the Governing Body may be convened by the Secretary on a written request by any eight members by giving at least three days’ notice.
